Either looks good to me.  The second has some appeal because it gets the
tags right out of the way.  Either interpretation would be "easier on the
eyes" than the original HTML.  You'll also have to worry about quoting and
indenting.  e.g. 

							<p>
	This is some text in the main message
							<blockquote>
	   This is some text in the quoted message	</blockquote>
							<p>
        Back to the main message

Once you've written the formatter, how about putting it in the public
domain or freeware for other MIME authors to use?
